By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and SOFE.

4. Account Registration and Security

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account
• Not share your account with others or allow others to access your account

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payments and Billing

• Additional credits or services may be purchased separately
• All payments are processed through secure third-party payment processors

Refund Policy:

• We offer a 30-day money-back guarantee for lifetime licenses
• Refund requests must be submitted within 30 days of purchase
• Refunds are handled on a case-by-case basis and processed within 14 business days
• Credits or add-on services may have different refund policies

Payment Terms:

• All fees are in U.S. Dollars unless otherwise stated
• You are responsible for all applicable taxes
• Payment information must be current and accurate
• Failed payments may result in service suspension

6. User Content and Data

Your Content:

You retain all ownership rights to content, data, and materials you submit to the Services ("User Content"). 7. Acceptable Use Policy

You agree to use the Services only for lawful purposes. You must not:

• Interfere with or disrupt the Services

License to Use:

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes. This license does not include any right to:

• Resell or commercially exploit the Services
• Modify or create derivative works
• Use any data mining or extraction tools
• Remove or modify any proprietary notices

Trademarks:

SOFE, our logo, and other marks are trademarks of xVentures AI Corporation. You may not use these marks without our prior written permission.

9. Third-Party Services and Links

The Services may contain links to third-party websites, services, or integrations. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

10. Disclaimers and Limitations of Liability

Service "As Is":

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

No Guarantees:

We do not guarantee that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee specific results or outcomes from using the Services.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR INABILITY TO USE THE SERVICES.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law. In no event shall our total liability exceed the amount you paid us in the twelve (12) months prior to the event giving rise to liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless SOFE, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your User Content
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

12. Termination

Termination by You:

You may terminate your account at any time by contacting us. Termination does not relieve you of any payment obligations incurred prior to termination.

Termination by Us:

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including for violation of these Terms. We may also terminate inactive accounts.

Effect of Termination:

Upon termination, your right to use the Services will immediately cease. You may request export of your data within 30 days of termination. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.

13. Dispute Resolution and Arbitration

Informal Resolution:

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Binding Arbitration:

If we cannot resolve the dispute informally, you and SOFE agree that any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver:

YOU AND SOFE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions:

Either party may bring a lawsuit in court to seek injunctive or other equitable relief for intellectual property infringement or other unauthorized use of intellectual property rights.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding (excluding arbitration) shall be brought exclusively in the state or federal courts located in New York County, New York.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

16. General Provisions

Entire Agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SOFE regarding the Services and supersede all prior agreements and understandings.

Severability:

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver:

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment:

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure:

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Export Controls:

You agree to comply with all applicable export and import control laws and regulations, including those of the United States. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country.
